This is a legal agreement. Please read it before installing or using the Software. A plain-language summary is shown in the installer and at the top of this document is not a substitute for the full terms below.
Plain-language summary (not legally binding — the numbered clauses govern):
- You get a subscription license to use Paramettrik plugins, not ownership of the software.
- The 3 local library browsers work fully offline and send nothing. Only the cloud features (Manufacturers, Community, Organisation) send or receive data, when you sign in, publish, rate or download. An update check runs at each Revit startup, with no account and no content.
- Anything you publish to the Community library stays yours: you can withdraw or delete it at any time, but copies others have already downloaded remain usable under the Community Licence (see §7.3).
- The software is provided "as is"; our liability is capped (see §12).
- Payments are handled by Stripe as Merchant of Record; billing, VAT and refunds go through Stripe (see §5).
- Your privacy is governed by our Privacy Policy at https://paramettrik.com/privacy/policy.
1. Parties and definitions
1.1 This Agreement is between SynTrait - Ingénierie, a single-member limited liability company (EURL) registered in France under SIREN 993 686 328, with registered office at 37 Avenue de la Résistance, 77500 Chelles, France ("Paramettrik", "we", "us"), and the individual or legal entity that installs or uses the Software ("you", "Licensee", "User").
1.2 Definitions.
- "Software" — the Paramettrik Revit plug-ins and companion applications, including but not limited to Paramettrik Library, Paramettrik Synthesis, and Synthesis Scan, together with their installers, updates, documentation, and bundled components.
- "Platform" — the Software together with Paramettrik's hosted backend services (authentication, cloud family libraries, licensing, telemetry).
- "Module" — a paid product of the Platform (for example Library), activated for an organisation and billed per seat, as described at https://paramettrik.com/pricing and in §4. The Free tier, free of charge, is described there as well.
- "Subscription" — a paid, recurring right to use one or more Modules for a billing interval (monthly or annual).
- "Cloud Features" — the cloud functionality (Manufacturer, Community, and Organisation libraries) that transmits or receives data over the internet.
- "Local Features" — all functionality that operates entirely on your machine without transmitting content (the Internal Families, Asset, and Project Families browsers).
- "Contribution" — any family file, thumbnail, document, metadata, rating, or other content you upload or publish through the Platform.
- "Community Library" — the shared, moderated public library into which Users may publish Contributions.
- "Organisation Library" — a private library scoped to a single organisation.
- "Merchant of Record" / "MoR" — Stripe, Inc. and/or its affiliates, acting as the reseller and seller of record for paid Subscriptions (§5).
- "Machine Identifier" — a non-reversible value derived from your device and user account, used for license enforcement (§4.5).
2. Grant of license
2.1 Subject to your compliance with this Agreement and, for paid Modules, payment of the applicable fees, Paramettrik grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your internal professional or evaluation purposes, for the number of users and devices permitted by your Seats (§4.2).
2.2 The Software is licensed, not sold. Paramettrik and its licensors retain all right, title, and interest in and to the Software.
2.3 The Free tier is licensed at no charge and may be used for an indefinite period, subject to this Agreement and to any technical limits of the Free tier. Paramettrik may modify or discontinue the Free tier at any time.
3. License restrictions
You shall not, and shall not permit any third party to: 3.1 copy, modify, translate, or create derivative works of the Software, except as expressly permitted by law that cannot be excluded by contract; 3.2 reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law (including Article 6 of Directive 2009/24/EC on interoperability, subject to its conditions); 3.3 rent, lease, lend, sell, redistribute, host as a service, or otherwise make the Software available to third parties beyond the users holding a Seat; 3.4 circumvent, disable, or tamper with the license validation, entitlement tokens, device limits, seat limits, or usage metering (§4); 3.5 remove or alter any proprietary notices; or 3.6 use the Software in violation of applicable law or of the acceptable-use rules in §8.
4. Modules, seats, devices and license enforcement
4.1 Modules. The features, storage quotas, and prices of the Free tier and of each Module are described at https://paramettrik.com/pricing and form part of this Agreement by reference. Seat count never gates a Module's features; it determines price and storage quota. Paramettrik may change these definitions and pricing prospectively on notice (§17).
4.2 Seats. An active Module licenses a pool of named seats allocated by an organisation administrator, including where the organisation has only one (1) person; each seat is for one named user and permits activation on up to two (2) devices. Seats may be reassigned but not concurrently shared.
4.3 Organisations. Every Subscription is attached to an organisation, whose administrator manages seats and billing from the account. A single user constitutes an organisation of one (1) person.
4.4 Trials. Each Module may include a free trial of twenty-one (21) days, once per Module and per organisation. The trial requires no payment card and results in no automatic conversion to a paid Subscription at its end; see §5.
4.5 License enforcement. The Software validates entitlements against Paramettrik's licensing service and issues a short-lived, cryptographically signed offline entitlement token. To enforce device and seat limits, the Software computes a non-reversible Machine Identifier from your Windows Machine GUID and user account identifier. You consent to this processing for the purpose of license enforcement and fraud prevention (see the Privacy Policy). The Software may operate offline for a limited grace period; after the grace period expires, paid features may be disabled until connectivity is restored.
4.6 Revocation. Paramettrik may suspend or revoke entitlements in case of non-payment, breach, chargeback, fraud, or where required by law.
5. Fees, billing, Merchant of Record, and refunds
5.1 Merchant of Record. Paid Subscriptions are sold and processed through Stripe acting as Merchant of Record. This means Stripe is the seller of record for the transaction, collects payment, and handles applicable VAT/sales taxes. Your purchase is subject to Stripe's applicable buyer terms in addition to this Agreement. Paramettrik remains the licensor of the Software under this Agreement.
5.2 Billing interval. Paid Modules are offered on a monthly or annual basis. Annual plans are billed once per year in advance; monthly plans are billed each month in advance. Prices are shown exclusive of tax where indicated; the MoR adds applicable taxes at checkout.
5.3 Auto-renewal. Subscriptions renew automatically for successive intervals at the then-current price until cancelled. You may cancel at any time through the customer portal; cancellation takes effect at the end of the current paid interval.
5.4 Non-payment. If a payment fails, Paramettrik (via the MoR's retry process) will attempt to recover it for a short period. Paid features may be suspended after a payment-failure grace period of approximately seven (7) days, which is distinct from and shorter than the offline-tolerance grace of §4.5. Access is restored on successful payment.
5.5 Refunds and consumer withdrawal. (a) Consumers (B2C). If you are a consumer within the meaning of applicable consumer-protection law, you may have a statutory right of withdrawal (in the EU, 14 days for digital content). Because the Software provides immediate access to digital content, you will be asked to expressly consent to immediate performance and to acknowledge the loss of the withdrawal right once access begins. Where the withdrawal right is not validly waived, it applies as required by law. (b) Professionals (B2B). Except as required by mandatory law, fees are non-refundable; cancellation stops future renewals but does not refund the current interval. (c) Refund requests are handled through the MoR in accordance with its policies and applicable law.
6. Ownership and intellectual property
6.1 The Software, the Platform, all Paramettrik trademarks, and all related intellectual property are and remain the exclusive property of Paramettrik and its licensors. No rights are granted except as expressly stated.
6.2 Your data. You retain ownership of the Revit models, families, and project data you create with the Software. Local Features process this data only on your machine.
6.3 Feedback. If you send suggestions or feedback, you grant Paramettrik a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.
7. User Contributions and the Community Library
This clause governs what happens to content you upload. Read §7.3 carefully: you keep ownership of your Community Contributions and may withdraw or delete them, but copies other users have already downloaded remain usable under the Community Licence.
7.1 Scopes. The Platform offers three publication scopes with different legal treatment:
- Community (public, moderated) — §7.3;
- Organisation (private to your organisation) — §7.4;
- Manufacturer (reserved to onboarded manufacturers under a separate agreement) — not governed by this §7.
7.2 Your warranties for all Contributions. For every Contribution, you represent and warrant that: (a) it is your original work or you hold all rights and licenses necessary to publish it; (b) it does not infringe any third party's intellectual-property, contractual, or privacy rights; (c) it contains no confidential, proprietary, personal, or client-identifying data you are not authorised to disclose; and (d) it complies with the acceptable-use rules (§8). You are solely responsible for your Contributions.
7.3 Community Contributions and the Paramettrik Community Licence. A Community Contribution remains the property of the author who uploaded it. By publishing a Contribution to the Community Library, you grant:
(a) to Paramettrik, a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for technical delivery, publicly display and distribute that Contribution within and through the Platform, for as long as it remains published;
(b) to every Platform user who downloads it, the Paramettrik Community Licence (paramettrik_community_v1): a worldwide, non-exclusive, perpetual, royalty-free license to use and modify the Contribution in their own projects, including commercial ones. The user may not redistribute or resell the family itself, whether unchanged or modified, as a standalone file or as part of a library or collection. Delivering a project model that contains the family to a client is not redistribution. The Community Licence applies whether a Contribution is offered free of charge or, where the Platform allows it, for a fee.
You also acknowledge and agree that: (c) Withdrawal. You may withdraw a Contribution from the Community Library at any time. It is then hidden everywhere on the Platform, its files and history are kept, and you may republish it later without a new review. (d) Deletion. You may permanently delete a Contribution that you have withdrawn or that was rejected at moderation. Its files and its social history (ratings, comments, likes) are erased. Deletion cannot be undone. (e) Changes. You may edit a published Contribution's name, description, category and tags directly. A new file version or new images go through moderation again before they replace what is published. (f) Copies already downloaded. Withdrawal or deletion stops further distribution through the Platform. It does not revoke the Community Licence granted under (b) to users who already downloaded the Contribution: they may keep using and modifying the copies they have under that licence. (g) Account deletion. When your account is deleted, all your Community Contributions are deleted first, subject to (f). (h) Paramettrik may moderate, refuse, edit the metadata of, or remove any Community Contribution at any time, including under §7.6, but is under no obligation to remove or preserve any Contribution.
7.4 Organisation Contributions remain private. Contributions published to an Organisation Library are accessible only to members of that organisation according to their roles. The organisation (account holder) controls those Contributions. On termination of the Subscription to the relevant Module, access to the Organisation Library ends and the data is handled as described in §14 and the Privacy Policy. The Community Licence in §7.3 does not apply to Organisation Contributions.
7.5 Indemnity for Contributions. You will indemnify and hold Paramettrik harmless from any third-party claim arising from your Contributions or your breach of §7.2, including reasonable legal costs, to the extent permitted by applicable law and subject to §12.
7.6 Moderation and takedown. Community Contributions are pre-moderated before they become visible. Paramettrik may remove any Contribution that it reasonably believes infringes rights, violates §8, or is unlawful. Paramettrik operates a notice-and-takedown process; rights-holders may submit claims to support@paramettrik.com. Repeated infringers may be suspended.
8. Acceptable use
You shall not use the Platform to upload, publish, or transmit content that: (a) infringes intellectual-property or other rights; (b) is unlawful, defamatory, or harmful; (c) contains malware; (d) contains confidential client data you are not entitled to share; or (e) attempts to disrupt, overload, probe, or gain unauthorised access to the Platform. Paramettrik may investigate and act on suspected violations, including suspension.
9. Third-party and open-source components
9.1 The Software includes third-party and open-source components, each subject to its own license. A list of such components and their licenses is provided in the THIRD-PARTY-NOTICES file distributed with the Software in the installed application folder. In case of conflict, the applicable third-party license governs that component.
9.2 The Software runs inside Autodesk® Revit®. Autodesk is not a party to this Agreement, provides no warranty for the Software, and has no liability for it. Autodesk and Revit are trademarks of Autodesk, Inc.
10. Privacy and data protection
10.1 Paramettrik's processing of personal data is governed by the Privacy Policy at https://paramettrik.com/privacy/policy, which forms part of this Agreement by reference and complies with Regulation (EU) 2016/679 ("GDPR").
10.2 Data minimisation by design. Local Features operate entirely on your device and transmit no model or project content. Cloud Features transmit data only when you use them (signing in, publishing, rating, downloading). The one exception is an update check, once per Revit startup, which sends no account, no machine identifier and no content. Each download from a cloud library is recorded against your account (your account, the family, the date), as described in the Privacy Policy; manufacturers only ever receive aggregates. This data is not used to profile which projects an individual works on.
10.3 Organisation accounts / controller-processor. Where you use an organisation account to process personal data of your organisation's members, the parties will enter into a Data Processing Agreement (DPA), provided on request at support@paramettrik.com.
11. Warranty disclaimer
11.1 To the maximum extent permitted by applicable law, the Software and Platform are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
11.2 The Software is a professional productivity tool. You remain responsible for verifying all outputs, including quantities, extractions, and reports, before relying on them. Any quantities or estimates produced (including request-for-quote figures) are indicative and non-contractual.
11.3 Nothing in this section excludes warranties or rights that cannot be excluded under applicable mandatory law (including consumer law and, under French law, the legal guarantee of conformity and the guarantee against hidden defects, to the extent applicable).
12. Limitation of liability
12.1 Nothing in this Agreement limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or wilful misconduct (faute lourde ou dolosive).
12.2 Subject to §12.1, to the maximum extent permitted by law: (a) Paramettrik shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for loss of profits, revenue, data, model data, goodwill, or business interruption, however caused; (b) Paramettrik's total aggregate liability arising out of or related to this Agreement shall not exceed the greater of (i) the amounts you paid to the MoR for the relevant Software in the twelve (12) months preceding the event giving rise to liability, or (ii) fifty euros (€50). For the Free tier, aggregate liability shall not exceed fifty euros (€50).
12.3 Model data. You acknowledge that BIM work involves risk to model data and that you are responsible for maintaining backups and worksharing discipline. Paramettrik is not liable for loss of or damage to model data.
12.4 The allocation of risk in §§11–12 is a fundamental basis of the bargain and is reflected in the pricing.
13. Term
13.1 This Agreement takes effect when you install or first use the Software and continues while you use a Module or the Free tier.
13.2 The Free tier continues until terminated by either party. Paid Subscriptions continue for successive billing intervals until cancelled (§5.3) or terminated.
14. Termination and effect
14.1 By you. You may terminate by cancelling your Subscription (paid) and uninstalling the Software.
14.2 By Paramettrik. Paramettrik may suspend or terminate your license or account, with or without notice, for breach of this Agreement, non-payment, chargeback, fraud, unlawful use, or where required by law.
14.3 Effect of termination. On termination: (a) your right to use the Software and paid Cloud Features ends; (b) you must stop using and uninstall the Software; (c) access to your Organisation Library ends and the data is deleted or returned as described in the Privacy Policy/DPA and subject to legal retention; (d) termination of this Agreement does not, by itself, remove your published Community Contributions, which remain governed by §7.3 (you may withdraw, edit, or delete them as their author); account deletion triggers §7.3(g); and (e) clauses that by their nature should survive (including §§3, 6, 7.3, 7.5, 11, 12, 15, 16, 20, 21) survive.
15. Indemnification by you
To the extent permitted by law and subject to §12, you will defend, indemnify, and hold harmless Paramettrik against third-party claims arising from (a) your Contributions, (b) your breach of this Agreement, or (c) your unlawful use of the Platform.
16. Compliance, export and anti-corruption
You represent that you are not located in, and will not use the Software in, a country subject to comprehensive sanctions, and that you are not on any restricted-party list. You will comply with applicable export-control, sanctions, and anti-corruption laws.
17. Changes to the Software and to this Agreement
17.1 Paramettrik may update, modify, or discontinue features of the Software or Platform. Core functionality of a paid Module will not be materially reduced during a paid interval without offering a remedy.
17.2 Paramettrik may amend this Agreement prospectively. Material changes will be notified (e.g. in-app or by email) before they take effect. Continued use after the effective date constitutes acceptance; if you do not agree, you must stop using the Software and may cancel.
18. Beta and pre-release features
Features labelled beta, preview, or experimental are provided without warranty and may be changed or withdrawn; §§11–12 apply with full force.
19. Assignment
You may not assign this Agreement without Paramettrik's prior written consent. Paramettrik may assign it in connection with a merger, acquisition, or sale of assets.
20. Miscellaneous
20.1 Entire agreement. This Agreement, together with the Privacy Policy, DPA (if applicable), and Module/pricing descriptions incorporated by reference, is the entire agreement regarding the Software and supersedes prior agreements on its subject matter.
20.2 Severability. If any provision is held unenforceable, the remainder stays in effect and the provision is reformed to the minimum extent necessary.
20.3 No waiver. Failure to enforce a provision is not a waiver.
20.4 Force majeure. Neither party is liable for delay or failure due to causes beyond its reasonable control.

21. Governing law, language and jurisdiction
21.1 Governing law. This Agreement is governed by the laws of France, without regard to conflict-of-laws rules, and without prejudice to the mandatory consumer-protection rights you enjoy in your country of habitual residence if you are a consumer.
21.2 Jurisdiction. Subject to mandatory consumer rules, disputes are subject to the exclusive jurisdiction of the competent courts of Meaux, France (Tribunal de commerce de Meaux). Consumers may also bring proceedings in the courts of their place of residence where mandatory law so provides, and may use the EU Online Dispute Resolution platform.
21.3 Language. This Agreement is provided in English and French. In case of conflict, the French version prevails, except where mandatory local law requires the local-language version to govern for consumers.
